Alpha Oils (Pty) Ltd Terms of Service
1. Definitions
Alpha Oils means Alpha Oils (Pty) Ltd, its successors, and assigns.
Customer" or "Client" means the person or entity purchasing products from Alpha Oils.
Products" means lubricating oils and other related products supplied by Alpha Oils (Pty) Ltd.
Agreement" means these Terms and Conditions.
2. General Terms
2.1. These Terms and Conditions apply to all sales of Products by Alpha Oils (Pty) Ltd.
2.2. By purchasing Products, the Customer acknowledges acceptance of these Terms and Conditions.
2.3. Alpha Oils (Pty) Ltd reserves the right to modify or update these Terms and Conditions at any time.
3. Orders and Payment
3.1. Orders must be in writing, signed by an authorized representative of the Customer.
3.2. Payment terms are COD / Net 14 days from invoice date, unless otherwise agreed.
3.3. Alpha Oils (Pty) Ltd accepts bank transfers, or credit cards (subject to approval).
3.4. Late payments incur interest at 2% per month.
3.5. IBC Flowbin Usage & Return Policy
3.5.1. 6/9 month usage period for turn-around / replacement / return.
3.5.2. Failure triggers Mandatory Purchase.
3.5.3. Unpaid Flowbins Invoiced after 6/9 months.
3.5.4. R450/month rental fee for non-payment.
3.5.5. Rental fees accrue until full purchase payment is settled.
4. Prices and Taxes
4.1. Prices are as written quoted or listed on Alpha Oils' website.
4.2. Prices exclude taxes, duties, and other government charges.
4.3. Customer is responsible for paying all applicable taxes and charges.
5. Delivery and Risk
5.1. Delivery dates are estimates and not guaranteed.
5.2. Risk passes to the Customer upon delivery.
5.3. Alpha Oils (Pty) Ltd is not liable for delays or failures in delivery.
6. Product Quality and Warranty
6.1. Alpha Oils (Pty) Ltd warrants Products meet industry standards.
6.2. Warranty period is 12 months from delivery.
6.3. Warranty claims require written notice within 30 days of discovery.
7. Bulk Product Sales
7.1. Bulk product sales require a minimum purchase quantity.
7.2. Bulk products are sold "as is" and cannot be returned.
7.3. Customer assumes responsibility for storage, handling, and maintenance.
7.4. Alpha Oils (Pty) Ltd recommends regular testing to ensure product quality.
8. Ownership and Title
8.1. Title to Products passes upon full payment.
8.2. Until payment, Products remain Alpha Oils' property.
9. Cancellation and Returns
9.1. Orders cannot be cancelled without Alpha Oils (Pty) Ltd written consent.
9.2. Returns require written authorization and may incur restocking fees.
10. Liability and Indemnity
10.1. Alpha Oils (Pty) Ltd liability is limited to the purchase price.
10.2. Customer indemnifies Alpha Oils (Pty) Ltd against all claims, damages, and expenses.
11. Governing Law and Jurisdiction
11.1. These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa.
11.2. Disputes will be resolved through arbitration in accordance with the Arbitration Act 42 of 1965 (as amended) or the Rules of the Arbitration Foundation of Southern Africa.
11.3. The parties agree to submit to the jurisdiction of the South African courts.
11.4. The parties agree that the Magistrates' Court shall have jurisdiction in terms of Section 28 of the Magistrates' Courts Act 32 of 1944 (as amended).
12. Entire Agreement
12.1. These Terms and Conditions constitute the entire agreement.
12.2. No amendments or variations are valid unless in writing.
13. Bulk Product Specific Terms
13.1. Products supplied in bulk using IBC Flowbins, where the Client hasn't paid for the Flowbins, remain the property of Alpha Oils (Pty) Ltd.
13.2. In the event of conclusion or termination of the service or supply agreement, and Alpha Oils (Pty) Ltd is no longer a service provider, the Client agrees to:
13.2.1. Immediately “Purchase” the IBC Flowbins containing purchased products at the current market-related “New” IBC price.
13.2.2. Take responsibility for the products and Flowbins, releasing Alpha Oils (Pty) Ltd from any liability.
14. Consequences of Non-Payment and Termination
14.1. Upon termination or conclusion of the agreement, Alpha Oils (Pty) Ltd will not provide any further services or support.
14.2. The Client will not be entitled to any refunds or credits.
14.3. Alpha Oils will invoice the Client for the IBC Flowbins at the current market-related price.
14.4. Payment terms for the invoice will be COD from invoice date.
15. Force Majeure
15.1. Alpha Oils (Pty) Ltd is not liable for delays or failures due to force majeure events.
16. Inspection and Testing
16.1. Alpha Oils (Pty) Ltd reserves the right to inspect and test Products.
16.2. Customer must provide access for inspections and testing.
17. Product Transfer and Containerization
17.1. Products must not be transferred
17.1. Products may not be transferred to non-approved containers.
17.2. Transfers of products to unauthorized containers, other than their original supply vessel voids all product warranty and guarantees.
17.3. Alpha Oils (Pty) Ltd disclaims liability for damages or losses arising from unauthorized transfers.
18. Confidentiality
18.1. The parties agree to maintain confidentiality of all information exchanged.
18.2. Confidential information shall not be disclosed to third parties.
19. Termination
19.1. Either party may terminate the Service Agreement with written notice.
19.2. Termination does not affect outstanding obligations.
20. Dispute Resolution
20.1. Disputes shall be resolved through arbitration.
20.2. Arbitration shall be conducted in accordance with the Arbitration Act 42 of 1965 (as amended) or the Rules of the Arbitration Foundation of Southern Africa.
21. Notices
21.1. All notices must be in writing and sent to the designated address.
21.2. Notices are deemed received upon delivery.
22. Governing Language
22.1. These Terms and Conditions are written in English.
22.2. English shall be the governing language.
23. Waiver
23.1. Failure to enforce any provision does not constitute a waiver.
23.2. Waivers must be in writing.
24. Severability
24.1. Invalid or unenforceable provisions shall be severed.
24.2. Remaining provisions remain in effect.

17. Product Transfer and Containerization
17.1. Products must not be transferred

17.2. Transfers of products to unauthorized containers, other than their original supply vessel voids all product warranty and guarantees.
17.3. Alpha Oils (Pty) Ltd disclaims liability for damages or losses arising from unauthorized transfers.
18. Confidentiality
18.1. The parties agree to maintain confidentiality of all information exchanged.
18.2. Confidential information shall not be disclosed to third parties.
19. Termination
19.1. Either party may terminate the Service Agreement with written notice.
19.2. Termination does not affect outstanding obligations.
